Jean Paul Farah joined the firm in 1994 and has been a partner since 2003.

He has recognized experience representing leading domestic and international banks and export credit agencies in various financings and securities offerings for both public and private entities, primarily in the energy, infrastructure, telecommunications, consumer, and real estate sectors. His mergers and acquisitions practice involves advising strategic investors and private equity firms in their equity and mezzanine investments in Mexico.

He has participated in a broad range of sustainability-linked financings for companies such as Bimbo, América Móvil, Fibra Uno, and Fibra Macquarie, as well as in significant mergers and acquisitions, representing Thor Urbana, ENFOCA, Grupo Salud Auna, CGI Manufacture Holdings, Preficient, and Chart Industries, among others. He has also been involved in notable bond offerings for Kio Networks, Casa Cuervo, América Móvil, and Bimbo.

Jean Paul gained international experience as foreign associate at Uría Menéndez in Madrid and at Shearman & Sterling in New York.

Relevant Experience

  • Represented Banorte, Scotiabank and BBVA, as lenders, in a MXN$19 billion revolving credit facility granted to PEMEX.
  • Represented JP Morgan, as lender and administrative agent, in a MXN$6,390 million senior unsecured bridge credit facility granted to Aeropuerto de Cancún and ASUR US Commercial Airports, for the acquisition of URW Airports.
  • Represented Grupo Salud Auna in (i) a USD$365 million guaranteed notes offering by Auna and Oncosalud, and (ii) a MXN$7,358 million credit facility to Grupo Salud Auna México, Hospital y Clínica OCA and Oncosalud for the refinancing of existing indebtedness.
  • Represented JP Morgan, Bank of America and Citigroup Global Markets in a USD$12 billion P-caps notes offering by the Mexican government, through a Luxembourg-based SPV for PEMEX’s debt reduction, involving a total return swap under an ISDA Master Agreement, a repurchase transaction under a GMRA and a securities lending transaction under a GMSLA.
  • Represented BBVA Securities, Citigroup Global Markets, Goldman Sachs, HSBC Securities, Morgan Stanley, and Santander US Capital Markets, as initial purchasers, in América Móvil’s offering of MXN$15.5 billion aggregate principal amount of Senior Notes across three tranches due 2029, 2031 and 2034.
  • Represented BBVA in the refinancing of Grupo Bimbo's USD$1,935 million revolving loan.
  • Represented Santander and the lenders, in the financing of the the Natural Gas Transportation Projects of “Los Ramones Sur” and “Los Ramones Norte”.
  • Represented BBVA Spain and BBVA México in a joint venture with Kyndryl, through special purpose vehicles, for the provision of technology services.
  • Represented Thor Urbana, in the acquisition of Bruma-Vinicola, a resort and vineyard located in Ensenada, Baja California.
  • Represented ECF, in the acquisition of Grupo Pilsa, a Spanish leader in the distribution of small kitchen equipment and accessories for professionals in the restaurant industry.
  • Represented Grupo Salud Auna México, as purchaser, in the acquisition of Hospital y Clínica OCA and subsidiaries.
  • Represented Public Sector Pension Investment Board in the sale to an affiliate of Walton Street Capital of a real estate portfolio consisting of 61 Class A industrial buildings with over 10.4 million sq ft of leasable area.
