Advised ENGIE and its affiliates, including Heolios Intermediate 1, Engie Eólica Tres Mesas 3, Eólica Tres Mesas 4, Recursos Solares PV de México IV, BNB Villa Ahumada Solar, Buenos Días Energía and Engie Abril PV, in connection with its joint venture with Tokyo Gas related to the construction and development of a portfolio of projects (four solar parks and two wind farms in Mexico), which closed concurrently with the relevant project financing.
Advised ENGIE and its affiliates, in connection with a limited recourse project financing in respect of four solar parks and two wind farms in Mexico with a combined generation capacity of 721 MW.
Represented BBVA as lender in the refinancing of the construction loans made to Estación de Compresión Soto la Marina, a special purpose company owned by Enagas and Fermaca. This project financing was documented pursuant to Mexican law. Our firm conducted all aspects of due diligence review and drafting and negotiation of all finance and security documents required in respect of the transaction.
Represented (i) Citibanamex, Société Générale and BBVA in a project financing to Servitux, a joint venture between Monterra Energy and SSA México, for the construction of a fuel storage terminal in the port of Tuxpan, Veracruz, Mexico, and (ii) BBVA in an additional financing to Servitux to finance the value added tax relating to the construction expenses of such project.
Represented CCLA and GIC in the acquisition of a plot of land in Naucalpan, State of Mexico, valued at MXN$198.9 million, for the construction, development and operation of a multifamily rental housing project of approximately 480 units.
Represented BBVA Bancomer, Caixabank, Natixis, MUFG, Bancomext, IDB Invest and European Investment Bank as lenders in relation to the financing of the Villanueva I, Villanueva III and Don José Solar projects, having an aggregate capacity of approximately 1 GW. The project companies are subsidiaries of Enel Green Power and CDPQ.
Advised EVM Energía in USD$161 million credit facilitiesfor the development, construction and operation of two combined-cycle power plants with a combined generation capacity of 949MW, located in the State of Mexico.
Provided advice to a syndicate of commercial and development banks as senior lenders to subsidiaries of Enel Green Power for the development, construction, and operation of three solar projects in Mexico with an aggregate capacity of 1,088 MW.
Provided advice to Comexhidro in the sale of the ready to build wind farm Los Molinos, a 171 MW self-supply project in Tamaulipas, Mexico, to Thermion Energy.
