Leopoldo Fragoso Montes joined the firm in 2013. He specializes in Banking and Finance, Mergers and Acquisitions and Capital Markets.
    Leopoldo has significant experience advising and structuring public and private offerings of a wide range of equity, quasi-equity and debt securities in domestic and international markets, including shares, corporate bonds, structured notes, and complex asset-backed securitizations.  He has also represented financial intermediaries in secured and unsecured loans, bilateral and syndicated loans, asset financing and other leveraged transactions with varying degrees of complexity. 

    Leopoldo has complemented his practice by advising sellers and buyers (including financial advisors) on mergers and acquisitions, takeover bids, financed acquisitions, and restructurings in various sectors and activities, such as telecommunications, insurance and other regulated industries.

    • Represented HSBC, JP Morgan, Mizuho and Santander in connection with the offering by Grupo Bimbo of its USD$600 million senior notes.
    • Represented Altos Hornos de México (AMHSA) in connection with an Advance Payment Facility Agreement for USD$475 million entered into by AHMSA and certain entities, as borrowers, and Cargill Financial Services International, as lender, which purpose was to pay the "Convenio General de Pago" under the "Suspensión de Pagos" procedure of AHMSA. 
    • Represented Discovery Americas in the establishment of a private equity vehicle, through a public offer of certificados bursátiles fiduciarios de proyectos de inversión (CERPIs) for up to USD$100 million.
    • Represented Credit Suisse Securities (USA), JP Morgan Securities, Morgan Stanley and Santander Investment Securities, as initial purchasers, in connection with the offering by Sixsigma Networks México, (KIO Networks) of USD$300 million of its 7.500% senior notes due 2025 offering.
    • Represented Citigroup Global Markets, HSBC Securities (USA), JP Morgan Securities, Merrill Lynch, Pierce, Fenner & Smith Incorporated, and Santander Investment Securities, as initial purchasers, in connection with the offering by Grupo Bimbo of USD$500 million of its 5.950% subordinated perpetual notes offering. 
    • Represented the Ministry of Finance and Public Credit in the establishment of a base indenture and the asset backed securitization of the Mexico-Puebla toll road through the issuance of two series of notes the “MXPUCB 18U” and “MXPUCB 18” in the Mexican Stock Exchange.
    • Represented the underwriters in the global public offerings of Jose Cuervo, Nemak, and Unifin.
    • Represented Banamex as administrative and collateral agent, in the acquisition financing of a real estate portfolio by Fibra Terrafina.
    • Represented a banks’ syndicate in the granting of a term loan facility to PEMEX.
    • Represented Credit Suisse in the granting of a convertible facility to Lottus Education.
    • Represented Grupo Financiero Banorte in the acquisition of the 50% stake owned by Assicurazioni Generali in the capital stock of Seguros Banorte Generalli and Pensiones Banorte Generalli.
    • Represented Grupo Hevi in the sale of its cable business (Telecable) to Televisa.
